Common use of Transfer of a Portion of Menomonee Avenue Property to the School District Clause in Contracts

Transfer of a Portion of Menomonee Avenue Property to the School District. At Closing (defined in Section 4 below), the Village shall transfer and convey title to the approximately 45 acre portion of the Menomonee Avenue Property identified on Exhibit B (the “Menomonee Avenue Property”) by Warranty Deed to the School District. Title shall be free and clear of all liens and encumbrances, except only the following: municipal and zoning ordinances and agreements entered into under them; recorded easements for distribution of utilities and municipal services; recorded building and use restrictions and covenants; and such conditions as would be revealed by a current survey of the pertinent property and approved by the acquiring party (altogether, the "Permitted Encumbrances"). To facilitate the conveyance of the portion of the Menomonee Avenue Property identified on Exhibit A, and subject any final approval by the Village Board, the Village shall prepare, obtain approval of and record a certified survey map which shall subdivide the Menomonee Avenue property and identify the portion to be transferred to the School District.
