Transfer of Beneficial Interests to Another Restricted Global Note. A beneficial interest in any Restricted Global Note of a series may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Restricted Global Note of such series if the transfer complies with the requirements of Section 2.07(b)(ii) above and the Registrar receives the following: (A) if the transferee shall take delivery in the form of a beneficial interest in a 144A Global Note of such series, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 hereto, including the certifications in item (1) thereof or, if permitted by the Applicable Procedures, item (3) thereof; or (B) if the transferee shall take delivery in the form of a beneficial interest in a Regulation S Global Note of such series, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 hereto, including the certifications in item (2) thereof.

Transfer of Beneficial Interests to Another Restricted Global Note. A beneficial interest in any Restricted Global Note of a any series may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Restricted Global Note of such series if the transfer complies with the requirements of Section 2.07(b)(ii2.06(b)(2) above and the Registrar receives the following: (A) if the transferee shall will take delivery in the form of a beneficial interest in a the 144A Global Note of such series, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 or B-2 hereto, as applicable, including the certifications in item (1) thereof or, if permitted by the Applicable Procedures, item (3) thereof; or; (B) if the transferee shall will take delivery in the form of a beneficial interest in a the Regulation S Global Note of such series, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 or B-2 hereto, as applicable, including the certifications in item (2) thereof, and if such transfer occurs prior to the expiration of the Restricted Period, then the transferee must hold such beneficial interest through either Clearstream or Euroclear (as indirect participants in the Depositary).

Transfer of Beneficial Interests to Another Restricted Global Note. A beneficial interest in any Restricted Global Note of a any series of Notes may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Restricted Global Note of such the same series of Notes if the transfer complies with the requirements of Section 2.07(b)(ii2.06(c)(iii) above or Section 2.06(c)(iv), as applicable, and the Registrar receives the following: (A) if the transferee shall will take delivery in the form of a beneficial interest in a the 144A Global Note of such seriesNote, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 or B-2 hereto, as applicable, including the certifications in item (1) thereof or, if permitted by the Applicable Procedures, item (3) thereof; or (B) if the transferee shall will take delivery in the form of a beneficial interest in a the Regulation S Global Note of such seriesNote, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 or B-2 hereto, as applicable, including the certifications in item (2) thereof.

A beneficial interest in any Restricted Global Note of a series may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Restricted Global Note of such series if the transfer complies with the requirements of Section 2.07(b)(ii) above and the Registrar receives the following: (A) if the transferee shall take delivery in the form of a beneficial interest in a 144A Global Note of such series, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 B hereto, including the certifications in item (1) thereof or, if permitted by the Applicable Procedures, item (3) thereof; or (B) if the transferee shall take delivery in the form of a beneficial interest in a Regulation S Global Note of such series, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 B hereto, including the certifications in item (2) thereof.

A beneficial interest in any Restricted Global Note of a series may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Restricted Global Note of such series if the transfer complies with the requirements of Section 2.07(b)(ii3.07(b)(2) above and the Registrar receives the following: (A) if the transferee shall take delivery in the form of a beneficial interest in a the 144A Global Note of such seriesNote, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 hereto, including the certifications in item (1) thereof or, if permitted by the Applicable Procedures, item (3) thereof; or (B) if the transferee shall take delivery in the form of a beneficial interest in a the Regulation S Global Note of such seriesNote, as the case may be, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 hereto, including the certifications in item (2) thereof.

A beneficial interest in any Restricted Global Note of a series may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Restricted Global Note of such series if the transfer complies with the requirements of Section 2.07(b)(ii2.7(b)(ii) above and the Registrar receives the following: (A) if the transferee shall take delivery in the form of a beneficial interest in a 144A Global Note of such seriesNote, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 B hereto, including the certifications in item (1) thereof or, if permitted by the Applicable Procedures, item (3) thereof; or (B) if the transferee shall take delivery in the form of a beneficial interest in a Regulation S Global Note of such seriesNote, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 B hereto, including the certifications in item (2) thereof.

A beneficial interest in any a Restricted Global Note of a any series may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Restricted Global Note of such series if the transfer complies with the requirements of Section 2.07(b)(ii2.17(b)(ii) above and the Registrar receives the following: (A) if the transferee shall will take delivery in the form of a beneficial interest in a Rule 144A Global Note of such series, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 heretoE-1 or Exhibit E-2, as applicable, including the certifications in item (1) thereof or, if permitted by the Applicable Procedures, item (3) thereof; orand (B) if the transferee shall will take delivery in the form of a beneficial interest in a Regulation S Global Note of such series, then the transferor must deliver a certificate substantially in the form of Exhibit B-1 heretoE-1 or Exhibit E-2, as applicable, including the certifications in item (2) thereof.
