Transfer of Custody of Inventory. (a) It is understood by the parties that Seller will have, as of the Closing Date, custody of crude oil owned by third parties at, from or in transit to the Subject Property (hereinafter referred to as the "Products") and of the Crude Oil Inventories and BS&W. The BS&W, Products and Crude Oil Inventories are specifically excluded from this sale, except as to the transfer of their custody from Seller to Buyer.

Transfer of Custody of Inventory. (a) It is understood by the Parties that GPTX has custody of an inventory of crude oil contained in the Pipeline System (hereinafter called "Shipper Inventory"), which Shipper Inventory is not the property of GPTX, but is the property of GPTX's shippers. The Shipper Inventory is specifically excluded from this sale, except as to the transfer of its custody from GPTX to Buyer. At the Effective Time, GPTX will transfer custody of the Shipper Inventory to Buyer, and Buyer will issue to GPTX the necessary documentation to acknowledge receipt of the Shipper Inventory. The quantity and type of the Shipper Inventory, which is the subject of this change of custody, shall be determined and documented as set forth in Exhibit "M," attached hereto and made a part hereof. Within 60 days after the Closing, GPTX shall also provide Buyer with a statement ("Shipper Inventory Statement") certifying the portions of the Shipper Inventory due any shipper as of the Effective Time, which shall correspond to the respective Shipper Inventory calculations. As of the Effective Time, Buyer shall assume responsibility for the proper handling and delivery of the Shipper Inventory on behalf of and in accordance with the direction of the respective shippers.

  • Transfer of Collateral In connection with the transfer or assignment of the Note (whether by negotiation, discount or otherwise), the Company may transfer all or any part of the Collateral, and the transferee shall thereupon succeed to all the rights, powers and remedies granted the Company hereunder with respect to the Collateral so transferred. Upon such transfer, the Company shall be fully discharged from all liability and responsibility for the transferred Collateral.

  • Transfer of Materials In the event Acceleron exercises its rights pursuant to Section 10.5.1, Celgene shall negotiate in good faith with Acceleron regarding Celgene transferring to Acceleron, at Acceleron’s cost, materials developed under this Agreement in the course of Developing and Commercializing Licensed Compounds or Licensed Products that are directly related to Licensed Compounds or Licensed Products to the extent provided in and in accordance with such agreement.

  • Transfer of Letter of Credit The Letter of Credit may be transferred and assigned in accordance with the terms of the Letter of Credit.

  • Transfer of Know-How To facilitate Licensee’s accomplishment of the responsibilities set forth in Section 4.01 above, within thirty (30) days of the Effective Date of this Agreement GenuPro shall in good faith supply Licensee with copies of the GenuPro Know-How, Lilly Know-How and Lilly Manufacturing Know-How pertinent to the development of the GenuPro Compound in the Field that GenuPro is able to provide using commercially reasonable efforts and which is in the possession of GenuPro on the Effective Date, and shall transfer to Licensee the legal title to any IND on the GenuPro Compound presently on file in GenuPro’s name with the FDA and any comparable filings in other countries of the Territory. GenuPro shall also facilitate transfer of GenuPro Compound manufacturing-related information (including any associated quality and analytical information) to Licensee from those Third Parties from which GenuPro or PPD has received quotations for manufacturing GenuPro Compound that GenuPro is not under any obligation to keep confidential from a third party. GenuPro will provide Licensee with all relevant information available and known to GenuPro or PPD concerning the safety, handling, use, disposal and environmental effects of the GenuPro Compound or as may be useful to Licensee to conduct the Project, including but not limited to any communications with regulatory agencies.   • POWERS AND DUTIES OF CUSTODIAN AND DOMESTIC SUBCUSTODIAN Except for Assets held by any Subcustodian appointed pursuant to Sections 5(b), (c), or (d) of this Agreement, the Custodian shall have and perform the powers and duties hereinafter set forth in this Section 4. For purposes of this Section 4 all references to powers and duties of the "Custodian" shall also refer to any Domestic Subcustodian appointed pursuant to Section 5(a).

  • Transfer of Property All property owned by the Company shall be registered in the Company’s name, in the name of a nominee or in “street name” as the Board of Managers may from time to time determine.   • Transfer of Mortgage Loans The Assignment of Mortgage is in recordable form and is acceptable for recording under the laws of the jurisdiction in which the Mortgaged Property is located;
