Transfer of Delayed GCP Assets and Delayed GCP Liabilities. If and when the Approval or Notification, the absence of which caused the deferral of transfer or assignment of any Delayed GCP Asset or the deferral of assumption of any Delayed GCP Liability pursuant to Section 2.4(b), is obtained or made, and, if and when any other legal impediments for the transfer or assignment of any Delayed GCP Asset or the assumption of any Delayed GCP Liability have been removed, the transfer or assignment of the applicable Delayed GCP Asset or the assumption of the applicable Delayed GCP Liability, as the case may be, shall be effected in accordance with the terms of this Agreement, the Restructuring Steps Memorandum and/or the applicable Ancillary Agreement.
