Transfer of Equity Interest in Group Companies. The consummation of a Transfer of Shares by an Investor according to Section 4 shall be subject to and conditional upon a Transfer to the Founders of the corresponding portion of shares, securities, equity interests or other voting rights in any Group Company (other than the Company) beneficially owned by such Investor or its Affiliates (if any) at nominal consideration or at a minimum price permitted by the applicable laws. Each Party shall take all actions, execute all documents and do all things required by law or as may be necessary or desirable to consummate such Transfer.
