Common use of Transfer of Membership Rights Clause in Contracts

Transfer of Membership Rights. The Member, in the Member’s sole discretion, may transfer (whether by sale, gift, or otherwise) all or any part of the Member’s membership interests, including both economic and non-economic interests, to any Person at any time. The Member may make any such transfer under any terms and conditions that the Member deems appropriate. Upon the assignment or transfer of all of the Member’s membership interests in the Company, the transferee shall automatically become the substituted member of the Company.
