Transfer of Mortgage Loans; Assignment of Agreement. The Seller hereby acknowledges and agrees that the Purchaser may sell, transfer and assign its interest under this Agreement in accordance with the Sale and Servicing Agreement to the Issuer and the Indenture Trustee as may be required to effect the purposes of the Sale and Servicing Agreement and the Indenture, without further notice to, or consent of, the Seller, and the Issuer and Indenture Trustee shall succeed to such of the rights and obligations of the Purchaser as shall be so assigned.
