Transfer of Mortgage Servicing Rights. Seller shall not assign, transfer, sell or otherwise encumber any of its (x) Mortgage Servicing Rights related to the Excess MSRs, or (y) the applicable Retained Percentage of any Excess MSRs, without the prior written consent of Purchaser which may be granted or withheld in Purchaser’s absolute discretion; provided, however, that Purchaser’s consent is not required if the transfer of the Mortgage Servicing Rights is directed by the Applicable Agency.
