Transfer of MPC Generation Assets. That portion of the Generation Assets (as such term is defined in the MPC Purchase Agreement) to be transferred to Purchaser at the Closing under the MPC Purchase Agreement consisting of, at a minimum, (i) Xxxxxxx, (ii) MPC's undivided interest in Colstrip 1,2 and 3, and (iii) the Missouri/Madison Hydro Units with Basin/Idaho/BPA Power Contracts (in each case of (i), (ii) and (iii), as such terms are defined in the MPC Purchase Agreement) shall have been purchased by Purchaser, unless such purchase has not occurred solely as a result of a breach by Purchaser of the MPC Purchase Agreement.
