Transfer of Orders; Assignments. Prior to the Closing, Seller and Buyer agree to cooperate with each other in conducting joint contacts with the Current Customers (as appropriate) for the purpose of attempting to obtain such customers' consent to transfer orders from Seller to Buyer or its designees (or to issue new orders to Buyer or its designees for the same or similar items) and to assign Seller's rights and benefits under the relevant Transferred Agreements to Buyer or its designees as of the Closing.
