Transfer of Primary Contracts. Each of the Primary Contracts, having been either (i) transferred, assigned and/or novated from the relevant member of the Retained Group to the relevant member of the Target Group, or (ii) negotiated with the relevant counter-parties and entered into by the relevant member of the Target Group on commercially agreed terms (as applicable).
