Common use of Transfer of Production Clause in Contracts

Transfer of Production. If Hospira becomes subject to an event of force majeure which interferes with production of Product at the Facility, the parties shall mutually agree on implementation of an agreed-upon action plan to transfer production of Product to another Hospira plant. The parties shall, after the execution of this Agreement and at the request of either party, meet to discuss and define such an action plan.

Transfer of Production. If Hospira becomes subject to an event of force majeure which interferes with production of Product at the Facility, the parties shall use good faith efforts to mutually agree in writing on implementation of an agreed-upon action plan to transfer production of Product to another Hospira plant. The parties shall, after the execution of this Agreement and at the written request of either party, meet to discuss and define such an action plan.

Transfer of Production. If Hospira becomes subject to an event of force majeure which interferes with production of Product at the FacilityHospira’s McPherson, KS plant, the parties shall mutually agree on implementation of an agreed-upon action plan to transfer production of Product to another Hospira plant. The parties shall, after the execution of this Agreement and at the request of either party, meet to discuss and define such an action plan.

If Hospira becomes subject to an event of force majeure which interferes with production of Product the Products at the Facility, the parties Parties shall mutually agree on implementation of an agreed-upon action plan to transfer production of Product the Products to another Hospira plantfacility, or to a Genzyme facility. The parties shall, after the execution of this Agreement and at the request of either party, meet to discuss and define such an action plan.
