Transfer of Program Rights. Licensee may not transfer to any third party any rights whatsoever with respect to Licensed Content or any other Audiovisual Content of Grupo Televisa to which Licensee has been licensed rights hereunder, in connection with the transfer of any Spanish Language Platform or other platform or assets of Licensee or its Affiliates (other than in connection with any transactions contemplated under Sections 17.2 and/or 20.6 or a Sublicensing Arrangement permitted under Section 4 of this Agreement).
