Common use of Transfer of Purchased Assets Clause in Contracts

Transfer of Purchased Assets. The Seller shall transfer, convey, sell, assign and deliver to the Buyer all of the Seller's right, title and interest in the Purchased Assets by delivering to the Buyer bills of sale, assignments, and documents of conveyance, each duly executed and acknowledged by the Seller, and such other good and sufficient instruments of transfer and conveyance as shall be effective to vest in the Buyer all of the Seller's right, title and interest in the Purchased Assets.

Transfer of Purchased Assets. The Seller shall transfer, convey, sell, assign transfer and deliver convey or cause to the be transferred and conveyed to Buyer all of the Seller's right, title and interest in the Purchased Assets by delivering and Seller and Buyer shall execute and deliver this Agreement and each of the Other Agreements and Seller shall deliver to the Buyer bills of sale, assignments, and documents of conveyance, each duly executed and acknowledged by the Seller, and such other good and sufficient instruments of transfer and conveyance as shall be effective necessary to vest in the Buyer title to all of the Seller's right, title and interest in Purchased Assets or as shall be reasonably requested by the Purchased AssetsBuyer.

Transfer of Purchased Assets. The Seller shall transfer, effectively convey, sell, assign transfer and deliver the Purchased Assets, free and clear of all Liens, to Purchaser at the Buyer all Closing (as defined below). The conveyance, transfer and delivery of the Seller's right, title and interest in the Purchased Assets by delivering Seller to Purchaser shall be effected by the Buyer bills of sale, assignments, assignments and documents of conveyance, each duly executed and acknowledged by the Seller, and such other good and sufficient instruments of transfer and conveyance as shall be effective to vest in the Buyer all of the Seller's right, title and interest in the Purchased Assets.form attached hereto as Exhibit A.
