Common use of Transfer of Responsibility Clause in Contracts

Transfer of Responsibility. The Contractor shall use all reasonable endeavours so as to facilitate the smooth transfer of responsibility for the Services to a New Contractor or to the Authority, as the case may be, and the Contractor shall take no action at any time during the term of this Contract or afterwards which may prejudice, frustrate or make more difficult such transfer. Subject to clause 42.3.3 (Duty to Co-operate), the Contractor shall ensure that the Contractor's Equipment is removed from the Authority's Premises on expiry or earlier termination of the Contract.
