Transfer of Rights, Duties. and Responsibilities under this Agreement. The Lender will not, without Ex-Im Bank’s prior written consent, assign or otherwise transfer: (a) the Lender’s right to make demand for payment on and receive payment from Ex-Im Bank for the benefit of the Noteholders in accordance with the provisions of Section 8; and (b) any of its other rights, duties or responsibilities under this Agreement, except that the foregoing shall not restrict an assignment or transfer by operation of law. Nothing in this Section 9.06 is intended to restrict or otherwise limit the Lender’s right to assign or otherwise transfer any interest in any Note or to grant participations therein.
