Common use of Transfer of Shareholder Shares Clause in Contracts

Transfer of Shareholder Shares. No holder of Shareholder Shares (other than Investment Corp. and its Affiliates, who shall only be bound pursuant to (b) below) shall sell, transfer, assign, pledge or otherwise dispose of (a "Transfer") any interest in any Shareholder Shares without the prior written consent of the Investment Corp., except Transfers pursuant to and in accordance with paragraphs 2(b), 2(c), 3, 4 and 5 below.

Transfer of Shareholder Shares. No holder of Shareholder Shares (other than Investment Corp. and its Affiliates, who shall only be bound pursuant to (b) below) shall may sell, transfer, assign, pledge pledge, encumber or otherwise directly or indirectly dispose of (a "“Transfer"”) any Shareholder Shares or any interest in any Shareholder Shares, including to the Company or any of its Subsidiaries, other than Permitted Transfers, prior to October 22, 2012 and, following such date, may Transfer Shareholder Shares without the prior written consent of the Investment Corp., except Transfers or an interest in Shareholder Shares only pursuant to and in accordance with paragraphs 2(b3(b), 2(c3(c), 33(d), 4 and 5 or 9 below.
