Common use of Transfer of Shares; Uncertificated Securities Clause in Contracts

Where a shareholder does not hold a certificate representing the number of Shares in its account and does provide Xxxxxx Square with instructions for the transfer of such Shares which include a signature guaranteed by a commercial bank, trust company or member firm of a national securities exchange and such other appropriate documentation to permit a transfer, then Xxxxxx Square shall register such Shares and shall deliver them pursuant to instructions received from the transferor, pursuant to the rules and regulations of the Securities and Exchange Commission (the "SEC"), and the laws of the State of Delaware relating to the transfer of shares of beneficial interest.
