Common use of Transfer of Shares; Uncertificated Securities Clause in Contracts

Transfer of Shares; Uncertificated Securities. Where a Shareholder does not hold a certificate representing the number of Shares in his account and does provide the Transfer Agent with instructions for the transfer of such Shares which include a signature guaranteed by a national bank or member of a National Securities Exchange and such other appropriate documentation to permit a transfer, then the Transfer Agent shall register such Shares and shall deliver them pursuant to instructions received from the transferor, pursuant to the law of the State of Maryland and other applicable law relating to the transfer of shares of common stock.
