Common use of Transfer of the Cooperation Agreement Clause in Contracts

Transfer of the Cooperation Agreement. The Seller and the Seller's Shareholder hereby undertake that: prior to the First Closing Date, the Seller and the Seller's Shareholder will cause Shandong Xxxxxx to transfer to Beijing Xxxxxx at least 40% of all the Cooperation Agreements (the list of which is set for the in Schedule 5.05) among Shandong Xxxxxx and Mobile Operators, and Beijing Xxxxxx will accordingly undertake all the rights and obligations undertaken by Shandong Xxxxxx in those 40% agreements transferred. The transfer of the Cooperation Agreements shall be approved by Mobile Operators with written consent, or, Beijing Xxxxxx shall execute new Cooperation Agreements with Mobile Operators, so as to replace the Cooperation Agreements among Shandong Xxxxxx and Mobile Operators, the content of which is subject to the written consent of the Buyer. In addition, prior to the First Closing Date, the Cooperation Agreements other than the Cooperation Agreements transferred shall be transferred to Beijing Xxxxxx prior to June 31 2006, and Beijing Xxxxxx will accordingly take all the rights and obligations undertaken by Shandong Xxxxxx in those agreements transferred. The transfer of the such Cooperation Agreements shall be agreed by Mobile Operators with written consent, or Beijing Xxxxxx shall, prior to June 31 2006, execute new Cooperation Agreements with Mobile Operators so as to replace the such Cooperation Agreements between and among Shandong Xxxxxx and Mobile Operators, the content of which is subject to the written consent of the Buyer.
