Common use of Transfer of the Property Clause in Contracts

Transfer of the Property. Upon transfer of the Property and assignment of this Lease, Landlord shall be entirely freed and relieved of all liability under any and all of its covenants and obligations contained in or derived from this Lease occurring after the consummation of the transfer and assignment, and from all liability for the Security Deposit. Tenant shall attorn to any entity purchasing or otherwise acquiring the Premises at any sale or other proceeding.

Upon transfer of the Property and assignment of this LeaseLease and assumption of this Lease by Landlord's successor, Landlord shall be entirely freed and relieved of all liability under any and all of its covenants and obligations contained in or derived from this Lease occurring after the consummation of the transfer and assignment, and from all liability for the Security Deposit. Subject to subsection 23(c), Tenant shall attorn to any entity purchasing or otherwise acquiring the Premises at any sale or other proceeding.

Transfer of the Property. Upon transfer of the Real Property and assignment of this Lease, Landlord shall be entirely freed and relieved of all liability under any and all of its covenants and obligations contained in or derived from this Lease occurring after the consummation of the transfer and assignment. Landlord shall transfer the Letter of Credit and the Letter of Credit Proceeds, if any, to the transferee of Landlord’s interest in the Real Property, and thereupon Landlord shall be released from all liability for the Security Depositsame. Tenant shall attorn to any entity purchasing or otherwise acquiring the Premises at any sale or other proceeding.

Upon transfer of the Property and assignment of this Lease, and assumption by the purchaser or assignee of the obligations of Landlord thereafter arising under this Lease, Landlord shall be entirely freed and relieved of all liability under any and all of its covenants and obligations contained in or derived from this Lease occurring after the consummation of the transfer and assignmentfor such obligations, and if Landlord shall transfer the Security Deposit to the transferee of Landlordis interest in the Real Property, Landlord shall be released from all liability for the Security Deposit. Tenant shall attorn to any entity purchasing or otherwise acquiring the Premises at any sale or other proceeding.
