Transfer of Title or Beneficial Ownership. The Stockholder hereby covenants and agrees that the Stockholder will not, prior to the termination of this Agreement, either directly or indirectly, offer, agree or otherwise sell, assign, pledge, hypothecate, transfer, exchange, or dispose of any Shares or any interest therein, owned either directly or indirectly by the Stockholder or with respect to which the Stockholder has the power of disposition, whether now or hereafter acquired, other than pursuant to an agreement which specifically provides that the purchaser of such Shares will assume the Stockholder's obligations hereunder.
