Common use of Transfer of Underlying Securities Clause in Contracts

Transfer of Underlying Securities. Xxxxxx Mae, acting in its corporate capacity, does hereby transfer, assign, set over and otherwise convey to Xxxxxx Xxx, acting in its capacity as Trustee, all of Xxxxxx Mae’s right, title and interest in and to the Underlying Securities identified in the Underlying Security Schedule attached as Exhibit A hereto, including all payments of principal and interest thereon beginning in November 1998. Xxxxxx Xxx, acting in its capacity as Trustee, acknowledges the transfer and assignment to it of the Underlying Securities and hereby declares that it will hold the same in trust for the Certificateholders on the terms in this Trust Agreement contained.
