Transfer of Vanessa Tangible Assets. The Sellers will sell to TriQuint or Purchaser their tangible assets listed in Schedule 2.2 (“the Vanessa Tangible Assets”) with effect from Effective Date. Schedule 2.2a contains the Vanessa Tangible Assets to be purchased by TriQuint from Infineon, Schedule 2.2b contains the Vanessa Tangible Assets to be purchased by TriQuint from Infineon US, and Schedule 2.2c contains the Vanessa Tangible Assets to be purchased by Purchaser from Infineon. Before the Effective Date, TriQuint may redirect title to these assets among itself and its Affiliates, by Notice to Infineon. Schedule 2.2 shall be reconciled through the procedures of Section 2.2.3, at the option of either party.
