Common use of Transfer or Assignment of Membership or Manager Interests Clause in Contracts

Transfer or Assignment of Membership or Manager Interests. No Member shall be entitled to assign, convey, sell, encumber or in any manner alienate or otherwise Transfer all or part of such Member’s Membership Interest except in strict compliance with each and all of the other Sections of this Article VIII. No Designated Manager shall be entitled to assign, convey, sell, encumber or in any manner alienate or otherwise Transfer all of part of such Designated Manager’s rights, interests, duties or obligations under this Agreement, in its capacity as a Designated Manager, without the Approval of the Members, except, in the case of a Designated Manager which is also a Member, to a successor to which the entire Membership Interest of such Designated Manager has been Transferred in full compliance with this Agreement.
