TRANSFER OR EXCHANGE OF VOTING TRUST CERTIFICATES. (i) The Trustees will maintain an office or agency in New York City at which Voting Trust Certificates may be presented or surrendered for registration of transfer or for exchange (the "Registrar"). The Registrar shall keep a register of the Voting Trust Certificates and of their transfer and exchange. The Trustees may appoint any person to act as Registrar on their behalf, but in the absence of an effective appointment, any Trustee may act as Registrar hereunder.
