Transfer Restricted Definitive Securities to Beneficial Interests in Transfer Restricted Global Securities Sample Clauses

This clause governs the process by which securities that are individually held and subject to transfer restrictions (definitive securities) can be converted into beneficial interests within a larger, collectively held global security that is also subject to transfer restrictions. In practice, this means that a holder of a physical certificate representing restricted securities may exchange it for a book-entry interest in a global certificate maintained by a central depository, provided certain conditions are met. The core function of this clause is to facilitate the efficient management and transfer of restricted securities by allowing holders to move from physical to electronic form, while maintaining compliance with transfer restrictions.
