Transfer restrictions for Managers. Save in respect of transfers permitted by the Articles each of the Managers undertakes to NewCo not to, nor to agree to, do any of the following other than with the consent of the Board by resolution in respect of which a B Director has voted in favour: 18.1.1 pledge, mortgage, charge or otherwise encumber any of their Shares or any interest in any of their Shares; 18.1.2 sell, transfer or otherwise dispose of, or grant any option over, any of their Shares or any interest in its Shares; or 18.1.3 enter into any agreement in respect of the votes attached to any of their Shares.
