Transfer Taxes and Property Tax Returns. (i) SpinCo OP will prepare and file all Tax Returns and other documentation with respect to all Transfer Taxes described in Section 11.1(a)(iii). (ii) DevCo OP will prepare and file all Tax Returns for Property Taxes due on or after the Distribution Date for DevCo Retained Properties. SpinCo OP will prepare and file all Tax Returns for Property Taxes due on or after the Distribution Date for Assets held by a member of the SpinCo Group after the Distribution Date.
