Transfer to Facility. The Parties expressly agree that they will work together to transfer ▇▇▇▇▇’s preexisting Manufacturing Process for the Product to the applicable Facility, including implementing the technology transfer plan set forth in the applicable Statement of Work. In the event of any delays in effecting such transfer of Manufacturing Process by Senti, and to the extent such delays are not attributable to any failure by Provider or any of its personnel or subcontractors to perform their obligations in accordance with this Agreement or the Framework Agreement, the timelines for performance of the activities set out in the applicable SoW that cannot reasonably be conducted in a timely manner without such transfer of Manufacturing Process shall be extended by an equivalent period to the delay (or such longer period as may be reasonably necessitated by the delay).
