TRANSFERABILITY OF PERMITS. Buyer shall have determined, in its sole discretion, that as a result of this transaction all of the Permits required for the operation of the Business have been transferred to Buyer, or can be so transferred to Buyer without public hearing or third party consent, and that any Permits which must be re-issued in the name of Buyer will be so issued as of the Closing Date.
