Common use of TRANSFERABILITY OF PERMITS Clause in Contracts

TRANSFERABILITY OF PERMITS. Buyer shall have determined, in its sole discretion, that as a result of this transaction all of the Permits required for the operation of the Business have been transferred to Buyer, or can be so transferred to Buyer without public hearing or third party consent, and that any Permits which must be re-issued in the name of Buyer will be so issued as of the Closing Date.

TRANSFERABILITY OF PERMITS. Buyer shall have determined, in to its sole discretionreasonable satisfaction, that as a result of this transaction the transaction, all of the Permits required for the operation of the Business have been Businesses remain in full force and effect or, if they must be transferred to BuyerBuyer due to a change of control, or can be so transferred to Buyer without public hearing or third party consent, and that any Permits which must be other regulatory re-issued in the name of Buyer will be so issued as of the Closing Dateapproval process.

Buyer shall have determined, in its sole discretion, that prior to, or as a result of of, this transaction transaction, all of the Permits permits required for the operation of the Business and the Facility have been transferred to Buyer, Buyer or can be so transferred to Buyer without public hearing or third party consent, and that any Permits which must be re-issued in the name all consents required by Applicable Laws for Buyer's use of Buyer will be so issued as of the such permits after Closing Datehave been obtained.

Buyer shall have determined, in its sole discretion, that as a result of this transaction the transactions contemplated herein all of the Permits required for the operation of the Business have been will be transferred to Buyer at Closing; provided, however, that Buyer, in its sole discretion, may elect at any time to proceed to close even if all such Permits may not be transferred to Buyer, or can be so transferred to Buyer without public hearing or third party consent, and that any Permits which must be re-issued in the name of Buyer will be so issued as of the Closing Date.
