Transferability of Representative's Warrants. You agree that the Representative's Warrants may not be transferred, sold, assigned or hypothecated for a period of one (1) year from the date hereof, except to (i) persons who are officers of you; (ii) a successor to you in a merger or consolidation; (iii) a purchaser of all or substantially all of your assets; (iv) your shareholders in the event you are liquidated or dissolved; (v) participating broker-dealers; and (vi) persons who are officers or partners of participating broker-dealers.
