Transferability of the Notes and Warrants. The Company will keep, at its principal executive office, books for the registration and registration of transfer of the Notes and the Warrants. The Notes and the Warrants may only be transferred pursuant to the terms set forth therein. Prior to presentation of the Note or the Warrant for transfer, the Company shall treat the person in whose name such Note or Warrant is registered as the owner and holder of such Note or Warrant for all purposes whatsoever, and the Company shall not be affected by notice to the contrary.
