Common use of Transferee Succeeds to Transferor's Capital Account Clause in Contracts

Transferee Succeeds to Transferor's Capital Account. If any Member Transfers all or a part of its Financial Rights in the Company, whether or not such Transfer is permitted under Article 12, any transferee from the Member shall succeed to the Capital Account (including any remaining Capital Contributions) of the transferor Member to the extent of the Interest Transferred, in accordance with Regulations Section 1.704-1(b)(2)(iv)(1).
