Common use of Transferor as Holder Clause in Contracts

Transferor as Holder. (a) Except as otherwise provided in Section 3.05(b), in determining whether the Holders of the requisite amount of Certificates have given any request, demand, authorization, direction, notice, consent or waiver hereunder, any Certificate beneficially held by a Transferor, its affiliates or its agents shall be disregarded and deemed not to be outstanding. (b) Section 3.05(a) above shall not apply when determining whether Holders of the requisite amount of Certificates have given any request, demand, authorization, direction, notice, consent or waiver under this Trust Agreement (i) in respect of any matter regarding an event of default of Xxxxxx Xxx or succession upon an event of default of Xxxxxx Mae or (ii) in respect of any consent required by clause (a) or (b) of Section 7.02 of this Trust Agreement.

(b) Section 3.05(a3.09(a) above shall not apply when determining whether Holders of the requisite amount of Certificates have given any request, demand, authorization, direction, notice, consent or waiver under this Trust Agreement (i) in respect of any matter regarding an event of default of Xxxxxx Xxx Mae or succession upon an event of default of Xxxxxx Mae Xxx or (ii) in respect of any consent required by clause (aA), (B) or (bC) of Section 7.02 9.02 of this Trust Agreement.

(b) Section 3.05(a3.07(a) above shall not apply when determining whether Holders of the requisite amount of Certificates have given any request, demand, authorization, direction, notice, consent or waiver under this Trust Agreement (i) in respect of any matter regarding an event Event of default of Xxxxxx Xxx Default or succession upon an event Event of default of Xxxxxx Mae Default or (ii) in respect of any consent required by clause (aA), (B) or (bC) of Section 7.02 9.02 of this Trust Agreement.

(b) Section 3.05(a3.11(a) above shall not apply when determining whether Holders of the requisite amount of Certificates have given any request, demand, authorization, direction, notice, consent or waiver under this Trust Agreement (i) in respect of any matter regarding an event of default of Xxxxxx Xxx Mae or succession upon an event of default of Xxxxxx Mae Xxx or (ii) in respect of any consent required by clause (aA), (B) or (bC) of Section 7.02 9.02 of this Trust Agreement.

(b) Section 3.05(a3.10(a) above shall not apply when determining whether Holders of the requisite amount of Certificates have given any request, demand, authorization, direction, notice, consent or waiver under this Trust Agreement (i) in respect of any matter regarding an event of default of Xxxxxx Xxx or succession upon an event of default of Xxxxxx Mae or (ii) in respect of any consent required by clause (aA), (B) or (bC) of Section 7.02 9.02 of this Trust Agreement.
