TRANSFEROR ORGANIZATION AND AUTHORITY; SUBSIDIARIES. The Transferor is a corporation duly organized, validly existing and in good standing under the laws of its jurisdiction of formation, and has full power and authority to own and convey the Contracts and execute and deliver the Transaction Documents to which the Transferor is a party (collectively, the "Transferor Documents") and all related documents, and to perform the terms and provisions hereof. The Transferor has no subsidiaries, but is the sole beneficial owner of the Issuer.
