Common use of Transferred Contract Liabilities Clause in Contracts

Transferred Contract Liabilities. All liabilities and obligations under the Transferred Contracts, whether arising before or after the Applicable Closing Date, but excluding those in respect of the Pre-Closing Accounts Payable;

Transferred Contract Liabilities. All liabilities and obligations under the Transferred Contracts, whether arising before or after the Applicable Closing Date, but excluding (A) those in respect of the Pre-Retained Accounts Payable and (B) those to the extent arising from a breach by Seller or a Selling Affiliate that occurred on or prior to the Applicable Closing Accounts PayableDate (such liabilities and obligations in clauses (A) and (B), the “Retained Contract Liabilities”);

Transferred Contract Liabilities. All liabilities and obligations under that accrue after the Closing Date arising out of or relating to the Transferred Contracts, whether arising before or after the Applicable Closing Date, but excluding those in respect of the Pre-Closing Accounts Payable; provided, however, that the Shared Contracts shall be subject to the provisions of Section 4.5;
