Common use of Transferred Information Clause in Contracts

Transferred Information. (a) The Vendors agree: (i) to disclose the Transferred Information to the Purchaser as may reasonably be needed to enable the Purchaser to review and complete the transactions contemplated by this Agreement; (ii) after the Closing, to collect, to use and disclose the Transferred Information only for those purposes for which the Transferred Information was collected from or in respect of the individual to which such Transferred Information relates or for the additional purposes (if any) for which the Transferred Information has been collected, used or disclosed or for the completion of the transactions contemplated by this Agreement; and (iii) to advise the Purchaser (A) of all purposes for which the Transferred Information was initially collected from or in respect of the individual to which such Transferred Information relates, (B) of all additional purposes (if any) for which the Transferred Information has been collected, used or disclosed, and (C) where the Vendors or the Corporation has not provided such notices or obtained such consents as are required by law in respect of such information or such purposes. (b) The Purchaser agrees: (i) to collect, use and disclose the Transferred Information in compliance with applicable Laws and solely for the purpose of reviewing and completing the transactions contemplated by this Agreement; (ii) after the Closing, to collect, use and disclose the Transferred Information only for those purposes for which the Transferred Information was collected from or in respect of the individual to which such Transferred Information relates or for the additional purposes (if any) for which the Transferred Information has been collected, used or disclosed or for the completion of the transactions contemplated by this Agreement; and (iii) to return or destroy the Transferred Information in the custody of or under the control of the Purchaser should the Closing not occur.

Transferred Information. (a1) The Vendors agree: (i) to disclose the Transferred Information to the Purchaser as may reasonably be needed to enable the Purchaser to review Company covenants and complete the transactions contemplated by this Agreement; (ii) after the Closingagrees to, to collectupon request, to use and disclose the Transferred Information only for those purposes for which the Transferred Information was collected from or in respect of the individual to which such Transferred Information relates or for the additional purposes (if any) for which the Transferred Information has been collected, used or disclosed or for the completion of the transactions contemplated by this Agreement; and (iii) commercially reasonable efforts to advise the Purchaser (A) or its affiliates, as the case may be, of all the purposes for which the Transferred Information was initially collected from or in respect of the individual to which such Transferred Information relates, (B) of all relates and the additional purposes (if any) for which the Transferred Information has been collected, used or disclosed, and (C) where the Vendors or Company has notified the Corporation has not provided such notices or obtained such consents as are required by law in respect individual of such information or such purposesadditional purpose. (b2) The In addition to its other obligations hereunder, the Purchaser covenants and agrees: (ia) prior to the completion of the transactions contemplated herein, to collect, use and disclose the Transferred Information in compliance with applicable Laws and solely for the purpose of reviewing and completing the transactions contemplated by this Agreementherein, including for the purpose of determining to complete such transactions; (iib) after the Closingcompletion of the transactions contemplated herein, to collect, use and disclose the Transferred Information only for those purposes for which the Transferred Information was initially collected from or in respect of the individual to which such Transferred Information relates or for the additional purposes (if any) for which the Transferred Information has been collected, used or disclosed or for the completion of the transactions contemplated by this Agreement; andherein, unless: (iiii) the Company or Purchaser have first notified such individual of such additional purpose, and where required by law, obtained the consent of such individual to such additional purpose; or (ii) such use or disclosure is permitted or authorized by law, without notice to, or consent from, such individual; (c) to return or destroy the Transferred Information, at the option of the Company, should the transactions contemplated herein not be completed; and (d) notwithstanding any other provision herein, where the disclosure or transfer of Transferred Information to Purchaser or its affiliates requires the consent of, or the provision of notice to, the individual to which such Transferred Information relates, to not require or accept the disclosure or transfer of such Transferred Information until the Company has first notified such individual of such disclosure or transfer and the purpose for same, and where required by law, obtained the individual’s consent to same and to only collect, use and disclose such information to the extent necessary to complete the transactions contemplated herein and as authorized or permitted by law. (3) The Company and the Purchaser shall co-operate in the custody provision of such notifications as are required by applicable privacy laws to the individuals to whom the Transferred Information relates that the Arrangement has taken place and of any disclosure or under the control transfers of the Transferred Information to the Purchaser should the Closing not occuror its affiliates.

The Buyer covenants to and with the Sellers that it will do or cause to be done the following: (a) The Vendors agree: (i) to disclose after the Transferred Information to the Purchaser as may reasonably be needed to enable the Purchaser to review and complete completion of the transactions contemplated by this Agreement;: (iii) after the Closing, to collect, to use and disclose the Transferred Information only for those purposes for which the Transferred Information was collected from or in respect of the individual to which such Transferred Information relates or for the additional purposes (if any) for which the Transferred Information has been collected, used or disclosed or for the completion of the transactions contemplated by this Agreement; and (iii) to advise the Purchaser (A) of all purposes for which the Transferred Information was initially collected from or in respect of the individual to which such Transferred Information relatesrelates and which solely relates to the carrying on of the Business, unless: (A) the Buyer has first notified such individual of such additional purpose and, where required by Law, obtained the consent of such individual to such additional purpose; or (B) of all additional purposes (if any) for which the Transferred Information has been collectedsuch use or disclosure is permitted or authorized by Law, used without notice to, or disclosedconsent from, and (C) where the Vendors or the Corporation has not provided such notices or obtained such consents as are required by law in respect of such information or such purposes.individual; and (b) The Purchaser agrees: (i) to collect, use and disclose return or destroy the Transferred Information in compliance with applicable Laws and solely for Information, at the purpose option of reviewing and completing the Sellers, should the transactions contemplated by this Agreement;Agreement not be completed; and (iic) after where the Closing, to collect, use and disclose the disclosure or transfer of Transferred Information only for those purposes for which to the Transferred Information was collected from Buyer requires the consent of, or in respect the provision of notice to, the individual to which such Transferred Information relates relates, to: (i) not require or for accept the additional purposes (if any) for which the disclosure or transfer of such Transferred Information has been collecteduntil the Sellers or the Company have first notified such individual of such disclosure or transfer and the purpose for same and, used where required by Law, obtained the individual’s consent to same; and (ii) only collect, use and disclose such information to the extent necessary to complete the transactions contemplated by this Agreement and as authorized or disclosed or for permitted by Law. The Buyer covenants to cause the Company to, if and to the extent required by Law, not less than thirty (30) days following the completion of the transactions contemplated by this Agreement; and (iii) , provide written notification to return or destroy all individuals to whom the Transferred Information in relates that such transactions have taken place and that the custody of or under Transferred Information has been disclosed to the control of the Purchaser should the Closing not occurBuyer.
