Common use of Transfers; Affiliates Clause in Contracts

Transfers; Affiliates. (a) A Holder may Transfer shares to another member or members of the applicable group of Holders so long as each such Transferee agrees unconditionally to be bound by the terms hereof to the full extent of the obligations of the transferor hereunder. Any such agreement shall be in writing, in a form reasonably satisfactory to the Company and the Board, entered into prior to effecting the Transfer and provided to the other Holder as to which a 15% Event has not occurred. For the avoidance of doubt, this Section 5.1(a) shall not apply to any Transfer by a Founder.
