Common use of Transfers and Other Liens Clause in Contracts

Transfers and Other Liens. Except as otherwise permitted by the Agreement, Debtor shall not: (a) Sell, assign (by operation of law or otherwise) or otherwise dispose of, or grant any option with respect to, any of the Collateral; or (b) Create or suffer to exist any lien, security interest or other charge or encumbrance upon or with respect to any of the Collateral to secure indebtedness of any Person except for the security interest created by this Security Agreement.

Transfers and Other Liens. Except as otherwise permitted herein or by the Inter-Party Agreement, Debtor shall not: (a) Sellsell, assign (by operation of law or otherwise) or otherwise dispose of, or grant any option with respect to, any of the Collateral, except pursuant to the terms of the Sales Agent Agreement, the Series in the ordinary course of business; or (b) Create create or suffer to exist any lien, security interest or other charge or encumbrance upon or with respect to any of the Collateral to secure indebtedness of any Person except for the security interest created by this Security AgreementPermitted Encumbrances.

Except as otherwise permitted by the Agreement, Debtor shall not: : (a) Sellsell, assign (by operation of law or otherwise) assign, or otherwise dispose of, of or grant any option with respect to, to any of the Collateral; or Collateral (except as permitted by Subsection 7.2 of the Credit Agreement), or (b) Create create or suffer to exist any lien, security interest or other charge or encumbrance lien upon or with respect to any of the Collateral to secure indebtedness (except as permitted by Subsection 7.1 of any Person except for the security interest created by this Security Credit Agreement).

Except as otherwise permitted by the Agreement, Debtor shall not: (a) Sellsell, assign (by operation of law or otherwise) or otherwise dispose of, or grant any option with respect to, any of the Collateral, except in the ordinary course of business; or (b) Create create or suffer to exist any lien, security interest or other charge or encumbrance upon or with respect to any of the Collateral to secure indebtedness of any Person person except for in the security interest created by ordinary course of business, as disclosed on Schedule 1 or as otherwise permitted under the Notes or this Security Agreement.
