Common use of Transfers by Party A Clause in Contracts

Transfers by Party A. Section 7 of this Agreement will not apply to Party A, who will be required to comply with, and will be bound by, the following: Without prejudice to Section 6(b)(ii), Party A may transfer all its interest and obligations in and under this Agreement upon providing no less than ten Business Days’ prior written notice to the Security Trustee (save that where a transfer has taken place pursuant to Part 6(a) (Ratings Downgrade Provisions) or following the occurrence of an Event of Default where Party B is the Defaulting Party or a Termination Event where Party B is the Affected Party, notice may be contemporaneous with transfer and Party B will not be required to consent to such transfer) to any other entity (a “Transferee”) provided that:
