Common use of Transfers in Compliance with Law Clause in Contracts

Transfers in Compliance with Law. Notwithstanding any other provision of this Agreement, no Transfer may be made pursuant to this Section 3 unless (a) the transferee has agreed in writing to be bound by the terms and conditions of this Agreement pursuant to a Deed of Adherence substantially in the form attached hereto as Exhibit B, (b) the transferee is not a Restricted Person, (c) the Transfer complies in all respects with the other applicable provisions of this Agreement and (d) the Transfer complies in all respects with applicable securities laws.

Transfers in Compliance with Law. Notwithstanding any other provision of this Agreement, no Transfer may be made pursuant to this Section 3 Article VIII or Article IX of this Agreement unless (ai) the transferee has agreed in writing to be bound by the terms and conditions of this Agreement pursuant to a Deed of Adherence Joinder Agreement substantially in the form attached hereto as Exhibit BSchedule 2 (Form of Joinder Agreement), (b) the transferee is not a Restricted Person, (cii) the Transfer complies in all respects with the other applicable provisions of this Agreement Agreement, and (diii) the Transfer complies in all respects with applicable securities lawslaws and other Applicable Laws.

Notwithstanding any other provision of this Agreement, no Transfer may be made pursuant to this Section 2 or Section 3 of this Agreement unless (ai) the transferee has agreed in writing to be bound by the terms and conditions of this Agreement pursuant to a Deed of Adherence an instrument substantially in the form attached hereto as Exhibit BB-1, (b) the transferee is not a Restricted Person, (cii) the Transfer complies in all respects with the other applicable provisions of this Agreement and Agreement, (diii) the Transfer complies in all respects with applicable securities laws, and (iv) the Transfer complies in all respects with Circular 37 (if applicable) and any related Requirements of Law (and the transferee has provided evidence of such compliance satisfactory to the Company).
