Common use of Transfers in Violation of this Agreement Clause in Contracts

Transfers in Violation of this Agreement. Any Transfer or attempted Transfer of any Shares or Share Equivalents in violation of this Agreement, including any failure of a Transferee, as applicable, to enter into a Joinder Agreement pursuant to Section 3.01(d) above, shall be null and void, no such Transfer shall be recorded on the Company’s books and the purported Transferee in any such Transfer shall not be treated (and the Stockholder proposing to make any such Transfer shall continue be treated) as the owner of such Shares or Shares Equivalents for all purposes of this Agreement.

Transfers in Violation of this Agreement. Any Transfer or attempted Transfer of any Shares Capital Stock or Share Stock Equivalents in violation of this Agreement, including any failure of a Transferee, as applicable, to enter into a Joinder Agreement pursuant to Section 3.01(d4.01(d) above, shall be null and void, no such Transfer shall be recorded on the Company’s books and the purported Transferee in any such Transfer shall not be treated (and the Stockholder proposing to make any such Transfer shall continue be treated) as the owner of such Shares Capital Stock or Shares Stock Equivalents for all purposes of this Agreement.

Any Transfer or attempted Transfer of any Shares Capital Stock or Share Stock Equivalents in violation of this Agreement, including any failure of a Transferee, as applicable, Transferee to enter into a Joinder Agreement pursuant to Section 3.01(d5.01(b) above, shall be null and void, no such Transfer shall be recorded on the Company’s books books, and the purported Transferee in any such Transfer shall not be treated (and the Stockholder proposing to make any such Transfer shall continue be treated) as the owner of such Shares Capital Stock or Shares Stock Equivalents for all purposes of any purpose under this Agreement.

Any Transfer or attempted Transfer of any Shares Capital Stock or Share Stock Equivalents in violation of this Agreement, including any failure of a Transferee, as applicable, to enter into a Joinder Agreement pursuant to Section 3.01(d4.01(b) above, shall be null and void, no such Transfer shall be recorded on the Company’s books and the purported Transferee in any such Transfer shall not be treated (and the Minority Stockholder proposing to make any such Transfer shall continue be treated) as the owner of such Shares Capital Stock or Shares Stock Equivalents for all purposes of this Agreement.

Any Transfer or attempted Transfer of any Shares Capital Stock or Share Stock Equivalents in violation of this Agreement, including any failure of a Transferee, as applicable, to enter into a Joinder Agreement pursuant to Section 3.01(d3.1(c) above, shall be null and void, no such Transfer shall be recorded on the Company’s books and the purported Transferee in any such Transfer shall not be treated (and the Stockholder proposing to make any such Transfer shall continue be treated) as the owner of such Shares Capital Stock or Shares Stock Equivalents for all purposes of this Agreement.

Any Transfer or attempted Transfer of any Shares Capital Stock or Share Stock Equivalents in violation of this Agreement, including any failure of a Transferee, as applicable, to enter into execute and deliver a Joinder Agreement pursuant to Section 3.01(d) above, shall be null and voidvoid ab initio, no such Transfer shall be recorded on the Company’s books stock ledger or other applicable books, and the purported Transferee in any such Transfer shall not be treated (and the Stockholder proposing to make any such Transfer shall continue be treated) as the owner of such Shares Capital Stock or Shares Stock Equivalents for all purposes of this Agreementany purpose.

Transfers in Violation of this Agreement. Any Transfer or attempted Transfer of any Shares or Share Equivalents Company Securities in violation of this Agreement, including any failure of a Transferee, as applicable, to enter into a Joinder Agreement pursuant to Section 3.01(d4.01(f) above, shall be null and void, no such Transfer shall be recorded on the Company’s books and the purported Transferee in any such Transfer shall not be treated (and the Stockholder proposing to make any such Transfer shall continue be treated) as the owner of such Shares or Shares Equivalents Company Securities for all purposes of this Agreement.
