Common use of Transfers of a Clause in Contracts

Transfers of a. Global Note shall be limited to transfers in whole, but not in part, to the Depository, its successors or their respective nominees. Interests of beneficial owners in a Global Note may be transferred or exchanged for Physical Notes in accordance with the rules and procedures of the Depository and the provisions of Section 2.17. In addition, Physical Notes shall be transferred to all beneficial owners in exchange for their beneficial interests in a Global Note if (i) the Depository notifies the Company that it is unwilling or unable to continue as Depository for the Global Notes and a successor depositary is not appointed by the Company within 90 days of such notice or (ii) an Event of Default has occurred and is continuing and the Registrar has received a written request from the Depository to issue Physical Notes.

In addition, Physical Definitive Notes shall be transferred to all beneficial owners in exchange for their beneficial interests in a Global Note if (i) the Depository Depositary notifies the Company that it is unwilling or unable to continue as Depository Depositary for the Global Notes and a successor depositary is not appointed by the Company within 90 days of such notice or (ii) an Event of Default the Company's obligation to pay the principal of, and accrued but unpaid interest on, the Notes has occurred and is continuing been accelerated, as provided in Section 6.02 hereof, and the Registrar has received a written request from the Depository Depositary to issue Physical Definitive Notes.
