Common use of Transfers of General Partner Units Clause in Contracts

Transfers of General Partner Units. The General Partner may only Transfer any of the General Partner Units (A) to any Affiliate, or (B) in connection with a Change in Control (as defined in the Parent LP Agreement); provided that (i) such transferee executes a counterpart to this Agreement where it agrees to become the General Partner hereunder, and (ii) such Transfer is in compliance with the Securities Act and applicable securities laws and otherwise in compliance with the terms of Section 8.2(g).
