Common use of Transfers of Interests in the Company Clause in Contracts

Transfers of Interests in the Company. The Subscriber agrees not to transfer or assign this Agreement, or any of its interest herein, and further agrees that the assignment and transfer of the Units acquired pursuant hereto shall be made only in accordance with the Operating Agreement (if permitted thereby) and all applicable laws. By subscribing to the Offering and executing this Agreement, the Subscriber (and, if the Subscriber is purchasing the Units subscribed for hereby in a fiduciary capacity, the person or persons for whom the Subscriber is so purchasing) hereby agrees to comply with the provisions set forth in Article VIII (ASSIGNMENT OF INTERESTS IN THE LIMITED LIABILITY COMPANY) of the Company’s Operating Agreement, a copy of which is attached to the Offering Circular as Exhibit 2 and incorporated herein by reference, for any nonexempt transfer described therein, for as long as such provisions therein remain in effect.
