Common use of Transfers of Rights Clause in Contracts

Transfers of Rights. This Agreement, and the rights and obligations of the Purchaser hereunder, may be assigned by such Purchaser to any partner, member, stockholder or affiliate of such Purchaser, or any person or entity for which Purchaser acts as trustee, and such transferee shall be deemed a "Purchaser" for purposes of this Agreement; provided that the transferee provides written notice of such assignment to the Company and agrees in writing to be bound hereby.

Transfers of Rights. This Agreement, and the rights and obligations of the each Purchaser hereunder, may be assigned by such Purchaser to any partner, member, stockholder or affiliate of such Purchaser, or any person or entity for to which Purchaser acts as trusteeat least 350,000 Shares are transferred by such Purchaser, and such transferee shall be deemed a "Purchaser" for purposes of this Agreement; provided that the transferee provides written notice of such assignment to the Company and agrees in writing to be bound herebyCompany.

This Agreement, and the rights and obligations of the each Purchaser hereunder, may be assigned by such Purchaser to (i) any person or entity to which at least 1,000,000 Shares are transferred by such Purchaser or (ii) to any partner, member, stockholder or affiliate of such Purchaser, or any person or entity for which Purchaser acts as trustee, and such transferee shall be deemed a "Purchaser" for purposes of this Agreement; provided that the transferee provides written notice of such assignment to the Company and agrees in writing to be bound hereby.

Transfers of Rights. This Agreement, and the rights and obligations of the each Purchaser hereunder, may be assigned by such Purchaser to any partner, member, stockholder or affiliate of such Purchaser, or any person or entity for to which Purchaser acts as trusteeRegistrable Shares are transferred by such Purchaser, and such transferee shall be deemed a "Purchaser" for purposes of this Agreement; provided that the transferee provides written notice of such assignment to the Company and agrees in writing to be bound herebyas promptly as practicable subsequent thereto.

Transfers of Rights. Transfers of Rights. This Agreement, and the rights and obligations of the each Purchaser hereunder, may be assigned by such Purchaser to his spouse, any partner, member, stockholder or affiliate member of such Purchaserhis immediate family, or any person or entity trust for which Purchaser acts as trusteethe benefit of the foregoing, and such transferee shall be deemed a "Purchaser" for purposes of this Agreement; provided that the transferee provides written notice of such assignment to the Company and agrees in writing to be bound hereby.

Transfers of Rights. This Agreement, and the rights and obligations of the Purchaser hereunder, may be assigned by such Purchaser to any partner, member, stockholder or affiliate of such Purchaser, or any person or entity for which acquires at least 100,000 Shares originally acquired by Purchaser acts as trusteefrom the Company, and such transferee shall be deemed a "Purchaser" for purposes of this Agreement; provided that the transferee provides written notice of such assignment to the Company and agrees in writing to be bound herebyCompany.

Transfers of Rights. This Agreement, and the rights and obligations of the each Purchaser hereunder, may be assigned by such Purchaser to any partner, member, stockholder or affiliate person to whom the Shares may be transferred under the Certificate of such Purchaser, or any person or entity for which Purchaser acts as trusteeDesignations relating to the Shares, and such transferee shall be deemed a "Purchaser" for purposes of this Agreement; provided that the transferee provides written notice of such assignment to the Company and agrees in writing to be bound hereby.
