TRANSFERS OF THE COMPANY CAPITAL STOCK. Set forth in the Company Disclosure Schedules is a list of all transfers or other transactions involving capital stock of the Company since January 1, 1993. All transfers of Company Capital Stock by the Stockholder have been made for valid business reasons and not in anticipation or contemplation of the consummation of the transactions contemplated by this Agreement.
