TRANSFERS WITH THE CONSENT OF BOARD OF DIRECTORS. Notwithstanding any other provisions of this Agreement, a Stockholder may Transfer any number of Covered Securities at any time with the prior written consent of the Board of Directors, which consent may be withheld or delayed, or granted on such terms and conditions as the Board of Directors may determine, in its sole discretion.
