Transfers within the Private Global Certificates. Notwithstanding any provision to the contrary herein, so long as a Private Global Certificate remains outstanding and is held by or on behalf of the Depository, transfers within the Private Global Certificates shall only be made in accordance with this Section 5.02(c)(ii).

Transfers within the Private Global Certificates. Notwithstanding any provision to the contrary herein, so long as a Private Global Certificate remains outstanding and is held by or on behalf of the Depository, transfers within the Private Global Certificates shall only be made in accordance with this Section 5.02(c)(ii5.02 and the rules of the Depository and all applicable rules and procedures of the Depository and Cedel or Euroclear applicable to transfers by their respective participants (the "Applicable Procedures"). In addition, no transfer of a Private Global Certificate shall be made unless such transfer is exempt from the registration requirements of the Securities Act and any applicable state or foreign securities laws.
